JYRSA sells exclusively through authorized distributors across the national territory.

1. JYRSA will sell exclusively to distributors, not to end users.

2. The distributor must operate within an appropriate commercial sector to promote and sell JYRSA personal industrial safety products and have all necessary resources to carry out sales activities, including a commercial location, sales personnel, transportation equipment, and communication channels (telephone, fax, email, etc.).

3. 3. There will be no exclusive territories for distributors.

4. The distributor agrees to dedicate sufficient resources to promote and sell JYRSA products. This commitment includes, but is not limited to:

a) Training their sales personnel on the features of JYRSA products and providing them with brochures and sales materials to effectively promote and sell the products.

b) Promoting JYRSA products among their customers and prospects.

c) Providing JYRSA with feedback on product sales performance and taking the initiative to suggest advertising, promotional, service, and logistics strategies that contribute to increased sales.

d) Analyzing past sales statistics together with JYRSA and preparing annual plans to help increase future sales.

5. The distributor agrees to allocate prominent spaces within their store for JYRSA point-of-sale promotional materials, such as brochures, leaflets, posters, banners, and displays, and will notify JYRSA promptly when resupply is needed. Additionally, the distributor agrees to collaborate with JYRSA during institutional promotions in newspapers, magazines, expos, or other media so that end users responding to the advertising are properly attended to by the distributor.

6. The distributor agrees to take the necessary training courses on the use and features of JYRSA products to guide end users in their purchase and proper use of the products.

7. Sales to distributors will be made by full product boxes only.

8. To become an authorized JYRSA distributor, the first purchase must be paid in full upfront with a minimum amount of $150,000 MXN before VAT, after which a minimum monthly consumption of $100,000 MXN before VAT must be maintained.

9. JYRSA products are sold L.A.B. Monterrey, N.L. This means that ownership and responsibility for the product transfers to the Distributor the moment the merchandise is delivered to the shipping service. The Distributor must claim any damages or shortages that occur during transportation directly with the carrier.

10. If the individual sale amount exceeds $18,000 MXN before VAT, shipping costs will be covered by JYRSA, except for disposable items, traffic control products (cones, buoys, traffic drums, etc.), and any unusually heavy or bulky products. JYRSA covering shipping costs on behalf of the customer does not imply that JYRSA assumes ownership or responsibility for the merchandise during transport. For all sales, regardless of the amount, 0.8% of the invoice subtotal will be charged as insurance. If the Distributor needs to claim this insurance due to loss or damage, it must be handled directly with the carrier.

11. Returns will only be accepted for defective merchandise. JYRSA’s responsibility is limited to replacing the defective product or refunding the amount paid for the defective merchandise. Customized merchandise is not eligible for return. To process any return, the Distributor must comply with JYRSA’s Return Policy. The Distributor agrees to read, understand, and sign to acknowledge acceptance of the content of this Return Policy.

12. The Distributor may request a special quotation when handling an operation outside the usual parameters. Examples include: large-volume tenders, product customization, new products, modification of the physical characteristics of an existing product, etc. In such cases, the Distributor must provide a written description of the special quotation and must not commit to any sales with the End User until a written response from JYRSA is received regarding price and delivery time.

13. The Distributor may request credit from JYRSA, subject to the Credit and Collections Policy. If credit is approved, the Distributor agrees to read, understand, and sign to acknowledge acceptance of the content of this Credit and Collections Policy. No merchandise shipments will be made if the Distributor has overdue invoices pending payment.
